1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Kontent Ltd ("Kontent", "we", "us"), governing your access to and use of the Kontent platform, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Eligibility
You must be at least 16 years of age (or the age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate, current, and complete registration information.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorised access at security@kontent.dev.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Service Description & Availability
Kontent provides document management, OCR processing, AI-powered analysis, cloud storage integration, and related tools. We aim for high availability but do not guarantee uninterrupted, error-free, or secure operation of the Service. We may modify, suspend, or discontinue features with reasonable notice (30 days for material changes).
5. User Content
5.1 Ownership
You retain all intellectual property rights in the content you upload, create, or store on the Service ("User Content"). Kontent does not claim ownership of your User Content.
5.2 Licence Grant
By uploading User Content, you grant Kontent a worldwide, non-exclusive, royalty-free licence to host, store, process, index, and display your content solely as necessary to provide, maintain, and improve the Service. This licence terminates when you delete your content or close your account, subject to reasonable backup retention periods.
5.3 Prohibited Content
You must not upload content that:
- Infringes any intellectual property, privacy, or other rights of third parties.
- Contains malware, viruses, or malicious code.
- Is unlawful, defamatory, harassing, threatening, or obscene.
- Violates export control laws or sanctions regulations.
- Contains child sexual abuse material (CSAM) — we report all instances to authorities.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or to violate any applicable law.
- Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure.
- Reverse engineer, decompile, or disassemble the Service or its underlying technology.
- Use automated tools (bots, scrapers) to access the Service beyond provided APIs.
- Interfere with or disrupt the integrity or performance of the Service.
- Circumvent any usage limits, rate limits, or access controls.
- Resell, sublicence, or redistribute the Service without written authorisation.
- Use the Service to send unsolicited communications (spam).
7. Subscription Plans & Payments
7.1 Plans
The Service offers Free, Pro, and Enterprise tiers with different usage quotas. Plan details and pricing are available on our pricing page and may change with 30 days' notice.
7.2 Billing
- Paid subscriptions are billed in advance on a monthly or annual cycle.
- All fees are exclusive of applicable taxes, which will be added at checkout.
- You authorise us to charge your selected payment method for recurring subscription fees.
7.3 Refunds
Subscription fees are non-refundable except where required by applicable law. If you cancel a paid subscription, you retain access until the end of your current billing period.
7.4 Overages
Usage exceeding your plan's quotas may result in temporary feature restrictions or overage charges as specified in your plan terms.
8. API Access
API keys are provided for programmatic access. You must keep your API keys confidential and are responsible for all activity under them. We may revoke API keys that are compromised or used in violation of these Terms. Rate limits apply per your plan tier.
9. Intellectual Property
The Service, including its source code, design, logos, documentation, and all underlying technology, is owned by Kontent and protected by intellectual property laws worldwide. These Terms do not grant you any right to use our trademarks, trade names, or branding without prior written consent.
10. Third-Party Integrations
The Service integrates with third-party services (Google Drive, OneDrive, social media platforms, etc.). Your use of these integrations is also subject to the respective third party's terms of service and privacy policy. Kontent is not responsible for the availability, accuracy, or practices of third-party services.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
OCR, AI analysis, and automated processing results are provided for informational purposes only and should not be relied upon as legal, financial, or medical advice. You are solely responsible for verifying the accuracy of processed content.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KONTENT, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. Indemnification
You agree to indemnify, defend, and hold harmless Kontent, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.
14. Termination
- By you — you may close your account at any time via Settings. Active paid subscriptions continue until the end of the billing period.
- By us — we may suspend or terminate your account immediately for material breach of these Terms, illegal activity, or if required by law. For non-material breaches, we will provide 14 days' notice to cure.
- Effect — upon termination, your right to use the Service ceases. We will retain your data for the period specified in our Privacy Policy to allow account recovery, and permanently delete it thereafter.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@kontent.dev and attempt to resolve the dispute informally for at least 30 days.
15.2 Arbitration
If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall be conducted in English, with the seat of arbitration in London, United Kingdom.
15.3 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15.4 Exceptions
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property infringement or misappropriation. Consumer protection rights under your local laws are not waived by this section.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. If you are a consumer in the European Union, you retain the protection of the mandatory provisions of the law of your country of residence. If you are a consumer in Australia, nothing in these Terms excludes, restricts, or modifies consumer guarantees under the Australian Consumer Law.
17. Export Compliance
You represent that you are not located in, or a national or resident of, any country subject to comprehensive trade sanctions, and that you will comply with all applicable export control laws and regulations when using the Service.
18. Force Majeure
Kontent shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including natural disasters, pandemic, war, terrorism, governmental action, power failure, internet disruption, or third-party service outages.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy and any supplemental terms for specific features, constitute the entire agreement between you and Kontent. Any prior agreements, representations, or understandings are superseded.
21. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notification and/or email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you disagree with revised Terms, your sole remedy is to close your account.
